These Terms of Use (“Terms”) govern your access to and use of expitrans.com and any ExpiTrans website, portal, application, software, interface, content, or online service that links to these Terms (collectively, the “Services”).

The Services are operated by ExpiTrans, Inc. (“ExpiTrans,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms.

If you use the Services on behalf of a company, partnership, merchant, organization, or other entity, you represent that you have authority to bind that entity. In that case, “you” includes both you and the entity.

Do not access or use the Services if you do not agree to these Terms.

1. ExpiTrans Services

ExpiTrans provides or facilitates products and services that may include:

  • merchant services
  • payment processing
  • payment gateways
  • transaction reporting
  • invoicing
  • recurring payments
  • payment equipment
  • point-of-sale technology
  • virtual-terminal services
  • mobile payment services
  • merchant onboarding
  • transaction and settlement notifications
  • technical support
  • software integrations
  • application programming interfaces
  • fraud and risk-management tools
  • account-management tools
  • related business and payment-technology services.

Some services are provided by or through sponsor banks, acquiring banks, processors, card networks, gateways, equipment providers, telecommunications providers, software providers, and other third parties.

The availability of particular services may depend on:

  • underwriting approval
  • business type
  • risk profile
  • geographic location
  • processing volume
  • equipment compatibility
  • processor availability
  • sponsor-bank requirements
  • card-network requirements
  • applicable law
  • a separate written agreement.

2. Relationship to Other Agreements

These Terms govern general access to and use of the Services.

Specific products or relationships may also be governed by:

  • merchant-processing agreements
  • merchant applications
  • program guides
  • sponsor-bank agreements
  • gateway agreements
  • software agreements
  • order forms
  • pricing schedules
  • equipment agreements
  • integration agreements
  • acceptable-use policies
  • privacy notices
  • card-network rules
  • other written or electronic agreements.

If these Terms conflict with a separately executed agreement governing a particular product or service, the separately executed agreement controls with respect to that product or service.

These Terms do not modify the responsibilities or rights of a sponsor bank, processor, card network, or another third party under a separate agreement.

3. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement.

If you use the Services for a business, you represent and warrant that:

  • the business is legally established or lawfully operating
  • you are authorized to act for the business
  • information you provide is accurate and complete
  • the business will use the Services only for lawful purposes
  • the business will comply with all applicable agreements, laws, regulations, and
  • payment-network requirements
  • you have authority to submit information regarding owners, officers, employees,
  • customers, or other individuals.

4. Account Registration

You may be required to establish an account to use certain Services.

You agree to:

  • provide accurate and complete information
  • update information when it changes
  • protect your username and password
  • maintain the confidentiality of authentication information
  • restrict account access to authorized users
  • assign appropriate user permissions
  • promptly remove access for former or unauthorized users
  • promptly notify ExpiTrans of suspected unauthorized activity
  • accept responsibility for activity conducted through your account, subject to
  • applicable law.

You may not:

  • use another person’s credentials without authorization
  • share credentials with unauthorized parties
  • create an account using false information
  • impersonate another person or business
  • circumvent authentication or access controls
  • interfere with account-security measures.

5. Account Security and Authentication

ExpiTrans may require:

  • password authentication
  • one-time passcodes
  • multifactor authentication
  • device verification
  • telephone-number verification
  • email verification
  • security questions
  • identity verification
  • other security controls.

Authentication codes may be delivered by SMS, email, authenticator application,

telephone, or another approved method.

You agree not to share one-time passcodes or authentication credentials with another person.

ExpiTrans may restrict, suspend, or require additional verification for an account when we reasonably suspect:

  • unauthorized access
  • fraud
  • account compromise
  • unusual activity
  • inaccurate information
  • violation of these Terms
  • a threat to the Services or another person.

6. Electronic Communications and Signatures

You consent to receive records, notices, disclosures, agreements, and communications electronically.

Electronic communications may be delivered through:

  • websites
  • portals
  • email
  • SMS or MMS
  • application notifications
  • downloadable documents
  • telephone
  • other electronic methods.

You agree that electronic communications and signatures may satisfy legal requirements that information be provided in writing or signed, to the extent permitted by law.

You are responsible for maintaining:

  • a valid email address
  • a valid telephone number
  • internet access
  • compatible equipment
  • software necessary to access electronic records.

7. SMS Messaging

ExpiTrans may send:

  • one-time authentication codes
  • account alerts
  • security notifications
  • payment and transaction notifications
  • receipts
  • settlement notifications
  • failed-payment notifications
  • invoice reminders
  • support communications
  • service updates
  • account updates
  • marketing communications where separately authorized.

Your use of ExpiTrans SMS programs is governed by the ExpiTrans SMS Messaging Terms and Conditions:

Message frequency varies.

Message and data rates may apply.

Reply STOP to opt out of an applicable recurring messaging program.

Reply HELP for assistance.

Consent to receive marketing text messages is not a condition of purchase.

An opt-out from marketing or recurring messages does not prevent ExpiTrans from sending a one-time security or authentication message that you specifically request.

8. Acceptable Use

You may use the Services only for lawful purposes and in accordance with these Terms and all applicable agreements.

You may not use the Services to:

  • violate any law, regulation, court order, or government requirement
  • commit fraud or deception
  • process unauthorized transactions
  • facilitate money laundering, sanctions evasion, or unlawful activity
  • collect or use payment information without authorization
  • submit false or misleading information
  • misrepresent a transaction
  • evade monitoring, reserves, underwriting, or risk controls
  • send spam or unlawful communications
  • infringe intellectual-property rights
  • violate privacy or publicity rights
  • harass, threaten, exploit, or harm another person
  • distribute malware or harmful code
  • interfere with system security
  • attempt unauthorized access
  • probe or scan a system without authorization
  • scrape or harvest data without authorization
  • reverse engineer software except where a restriction is prohibited by law
  • bypass usage limits or access controls
  • use automated tools in a manner that unreasonably burdens the Services
  • impersonate ExpiTrans, a financial institution, a merchant, or another party
  • conduct a business activity that is prohibited, restricted, or not disclosed in
  • an applicable merchant application.

9. Payment Processing and Merchant Services

Payment acceptance and processing are subject to:

  • underwriting
  • ongoing risk review
  • merchant agreements
  • sponsor-bank requirements
  • processor rules
  • card-network rules
  • fraud controls
  • equipment requirements
  • applicable law.

ExpiTrans does not guarantee:

  • approval of an application
  • approval of every transaction
  • uninterrupted processing
  • deposit timing
  • settlement timing
  • the absence of reserves
  • the absence of disputes or chargebacks
  • continued availability of a processor, bank, gateway, device, or payment method
  • or
  • continued eligibility for a service.

A transaction, settlement, deposit, or account may be:

  • declined
  • delayed
  • reversed
  • withheld
  • reserved
  • investigated
  • restricted
  • suspended

terminated.

These actions may result from:

  • fraud concerns
  • risk controls
  • chargeback activity
  • account status
  • suspected unauthorized transactions
  • card-network requirements
  • processor requirements
  • sponsor-bank requirements
  • legal obligations
  • technical failures
  • circumstances outside ExpiTrans’s reasonable control.

10. Fees and Charges

Fees for payment processing, equipment, software, gateways, support, or other services will be described in the applicable agreement, application, order form, or pricing schedule.

You agree to pay all applicable fees and charges in accordance with the governing agreement.

Unless otherwise required by law or stated in a separate agreement:

  • fees may be deducted from settlements or a designated account
  • applicable taxes may be added
  • past-due amounts may be subject to collection
  • equipment or service fees may continue until properly canceled
  • termination may not eliminate obligations that accrued before termination.

11. Third-Party Services and Integrations

The Services may connect to or depend on third-party:

  • banks
  • processors
  • gateways
  • card networks
  • digital wallets
  • software platforms
  • accounting services
  • point-of-sale systems
  • equipment
  • mobile networks
  • telecommunications providers
  • identity-verification services
  • fraud-prevention services
  • other integrations.

Third-party services are governed by their own terms and privacy policies.

ExpiTrans is not responsible for the acts, omissions, security, availability, accuracy, or performance of unaffiliated third parties except as expressly stated in a binding written agreement.

A third-party service may be modified, suspended, or discontinued without ExpiTrans’s control.

12. Merchant and User Data

You retain rights you lawfully hold in information you submit through the Services.

You grant ExpiTrans and its service providers the limited rights reasonably necessary to:

  • host the information
  • process it
  • transmit it
  • secure it
  • reproduce it for operational purposes
  • provide requested services
  • comply with legal obligations
  • enforce applicable agreements.

You represent that you have the necessary authority and legal basis to provide information to ExpiTrans.

You are responsible for:

  • obtaining required notices and consents
  • maintaining accurate records
  • complying with privacy laws
  • protecting customer information
  • limiting user access
  • responding to customer requests where you are responsible for doing so
  • using information only for lawful purposes.

13. Privacy

ExpiTrans’s handling of personal information is described in the ExpiTrans Privacy Policy:

14. Intellectual Property

The Services and related materials, including:

  • software
  • text
  • graphics
  • logos
  • trademarks
  • designs
  • interfaces
  • databases
  • documentation
  • workflows
  • other content,

are owned by ExpiTrans or its licensors and are protected by applicable intellectual- property laws.

Subject to these Terms, ExpiTrans grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Services for their intended business purpose.

Except as expressly authorized, you may not:

  • copy
  • modify
  • distribute
  • publish
  • publicly display
  • sublicense
  • sell
  • create derivative works from
  • remove proprietary notices from
  • commercially exploit

any ExpiTrans-owned content or technology.

No ownership rights are transferred to you.

15. Feedback

If you provide suggestions, ideas, enhancement requests, or feedback regarding the Services, you grant ExpiTrans a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use and incorporate the feedback without restriction or compensation.

This provision does not grant ExpiTrans ownership of your confidential information or

personal information.

16. Informational Content

Website and service content is provided for general informational purposes unless expressly incorporated into a binding written agreement.

Information may contain:

  • errors
  • omissions
  • outdated content
  • estimates
  • summaries
  • third-party information.

You are responsible for independently evaluating information relevant to your legal, tax, accounting, security, compliance, or business decisions.

Nothing in the Services constitutes legal, tax, accounting, investment, or financial advice.

17. Service Availability

ExpiTrans may modify, maintain, suspend, restrict, or discontinue all or part of a Service, subject to applicable contractual obligations.

Services may be unavailable because of:

  • planned maintenance
  • emergency maintenance
  • internet outages
  • telecommunications failures
  • cyber incidents
  • equipment failures
  • processor outages
  • bank outages
  • network interruptions
  • force majeure events
  • government action
  • other circumstances outside our reasonable control.

ExpiTrans does not guarantee continuous, uninterrupted, error-free, or completely secure access unless expressly provided in a separate written service-level agreement.

18. Suspension and Termination

ExpiTrans may suspend, restrict, or terminate access when reasonably necessary to:

  • address suspected fraud
  • protect account security
  • prevent harm
  • investigate misuse
  • comply with law
  • satisfy processor, sponsor-bank, or card-network requirements
  • enforce an agreement
  • address nonpayment
  • protect payment-system integrity
  • respond to a material risk.

Termination or suspension does not eliminate obligations or liabilities that accrued before the effective date of termination.

Sections that by their nature should survive termination will remain effective.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

EXPITRANS DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE

NON-INFRINGEMENT; AND QUIET ENJOYMENT.

EXPITRANS DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED
  • THE SERVICES WILL BE ERROR-FREE
  • THE SERVICES WILL BE COMPLETELY SECURE
  • EVERY DEFECT WILL BE CORRECTED
  • INFORMATION WILL ALWAYS BE ACCURATE OR CURRENT
  • EVERY TRANSACTION WILL BE AUTHORIZED
  • EVERY TRANSACTION WILL SETTLE

EVERY MESSAGE WILL BE DELIVERED; OR THE SERVICES WILL MEET EVERY USER’S REQUIREMENTS.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPITRANS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES
  • INCIDENTAL DAMAGES
  • SPECIAL DAMAGES
  • EXEMPLARY DAMAGES
  • PUNITIVE DAMAGES
  • CONSEQUENTIAL DAMAGES
  • LOST PROFITS
  • LOST REVENUE
  • LOST DATA
  • LOST BUSINESS

LOST GOODWILL; OR LOST OPPORTUNITIES

ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPITRANS’S TOTAL AGGREGATE LIABILITY ARISING FROM THESE TERMS OR GENERAL WEBSITE USE WILL NOT EXCEED THE GREATER OF:

1. THE

AMOUNT YOU PAID DIRECTLY TO EXPITRANS FOR THE SPECIFIC ONLINE SERVICE GIVING

RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR

2. ONE HUNDRED DOLLARS ($100).

This limitation does not override a different limitation in a separately executed agreement.

This limitation does not apply to liability that cannot legally be limited.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ExpiTrans and its affiliates, officers, directors, employees, agents, and service providers from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising out of or related to:

  • your unlawful use of the Services
  • your unauthorized use of the Services
  • your violation of these Terms
  • information you submit
  • your violation of another person’s rights
  • transactions submitted through your account
  • your failure to obtain required consent
  • your violation of privacy or communications laws
  • your fraud
  • your willful misconduct
  • your negligence.

This provision does not require indemnification for ExpiTrans’s gross negligence or willful misconduct where prohibited by law.

22. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Subject to the dispute-resolution section below, permitted court proceedings must be brought in the state or federal courts located in Orange County, California.

You consent to jurisdiction and venue in those courts.

23. Dispute Resolution and Arbitration

Counsel should approve this section before publication.

Before initiating formal proceedings, the parties agree to attempt in good faith to resolve a dispute by providing written notice describing:

  • the nature of the dispute
  • the relevant facts
  • the requested relief
  • contact information for the complaining party.

Except for eligible small-claims matters and requests for temporary or preliminary injunctive relief involving intellectual property, confidentiality, fraud, or unauthorized system access, a dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules.

Arbitration will take place in Orange County, California, unless:

  • the parties agree otherwise
  • the arbitration rules permit remote proceedings
  • applicable law requires another location.

The arbitrator may award individual relief that would be available in court.

The arbitrator may not consolidate claims or conduct a class, collective, or representative proceeding unless the parties expressly agree or applicable law requires otherwise.

YOU AND EXPITRANS WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Nothing in this section prevents a person from reporting a matter to a government agency.

24. Changes to These Terms

We may update these Terms periodically.

Updated Terms will be posted with a revised “Last Updated” date.

We may provide additional notice where:

  • required by law
  • required by contract
  • a change is material.

Your continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by law.

25. General Provisions

If a provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain effective.

ExpiTrans’s failure to enforce a provision is not a waiver.

You may not assign these Terms without ExpiTrans’s prior written consent.

ExpiTrans may assign these Terms in connection with:

  • a merger
  • an acquisition
  • a financing
  • a reorganization
  • a transfer of assets
  • a transfer of the applicable service or business.

Headings are for convenience only and do not affect interpretation.
